1. Who we are

NewYorkBusinessFile.com is a private business filing preparation and compliance monitoring service. We are not a government agency and are not affiliated with, endorsed by, or acting on behalf of the New York Department of State. Filings may also be prepared and submitted directly with the state, in some cases at a lower cost.

2. Not legal, tax, or accounting advice

Information on this site, including filing status and due dates, is general business reference only. It is not legal, tax, or accounting advice, and no attorney-client relationship is created. Consult a qualified professional for advice about your situation.

3. Accuracy of business records

Business entity information is derived from public New York State data and from direct status inquiries. Public data may be delayed, incomplete, or inconsistent. You are responsible for confirming your own filing obligations and deadlines with the state.

4. Your responsibilities

• Provide accurate, complete, and current information.
• Confirm you are authorized to act for the business whose information you submit.
• Keep any account credentials confidential.
• Use the service only for lawful business purposes.

5. Scope of service

At this time the service prepares filing information and monitors compliance status. Submission of filings to the state and payment processing are not yet available through this site. We will tell you when your filing can be completed.

6. Communications and SMS text messages

By providing your contact details you agree that we may contact you about your filing by email and telephone. Separately, and only if you check the unchecked consent box on our forms, you agree to receive SMS text messages from New York Business File about your filing status, deadlines, and account.

• Message frequency varies. Message and data rates may apply.
• Reply STOP to opt out at any time. Reply HELP for help.
• Carriers are not liable for delayed or undelivered messages.
• Mobile information and consent are never shared with third parties or affiliates for marketing or promotional purposes. See our Privacy Policy.

7. Fees

Any service fees charged by us are separate from, and in addition to, fees charged by the State of New York. Fees will be disclosed before you are asked to pay.

8. Intellectual property

The site, its content, and its design are owned by us or our licensors and may not be copied, scraped, resold, or redistributed without written permission. Underlying public records remain public records.

9. Disclaimer of warranties

The service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that status information is error-free or uninterrupted.

10. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, including state penalties, loss of good standing, or lost profits. Our total liability for any claim is limited to the amount you paid us for the service giving rise to the claim.

11. Indemnification

You agree to indemnify and hold us harmless from claims arising out of information you submit, your use of the service, or your violation of these terms.

12. Termination

We may suspend or terminate access for misuse, unlawful activity, or violation of these terms.

13. Governing law

These terms are governed by the laws of the State of New York, without regard to conflict-of-law rules. Disputes will be brought in the state or federal courts located in New York.

14. Changes

We may update these terms. Continued use after a new effective date means you accept the updated terms.
