Business Filings
New York Biennial Statement
New York business corporations and limited liability companies are generally required to file a Biennial Statement every two years. We help you review your filing status and prepare the information required.
What the Biennial Statement is
The Biennial Statement is a periodic business filing that keeps a company's record information up to date in New York. It is filed once every two years by most domestic and authorized foreign business corporations and limited liability companies.
When it is due
The filing month is based on the month in which the business originally filed its formation documents or became authorized to do business in New York. The statement is then generally due during that same calendar month every second year.
For example, a corporation formed in March would generally have a March filing month, with statements due in March of every other year.
What information is typically needed
- Address for forwarding service of process
- Principal executive office address
- For corporations, the name and business address of the chief executive officer
- Confirmation that existing record information is accurate
Requirements can differ by entity type and circumstance. This page provides general business information and is not legal advice.
