Everything a New York corporation or LLC generally needs to understand about the two-year statement requirement.

Who is generally required to file

Most domestic business corporations and limited liability companies formed in New York, as well as foreign entities authorized to do business in the state, are generally required to file a Biennial Statement every two years.

How the filing month is determined

The filing month matches the calendar month in which the business originally filed its formation documents or became authorized in New York. A business formed in September generally has a September filing month.

How the two-year cycle works

After the initial period, the statement is generally due during the filing month every second year. A business formed in September 2020 would generally have periods in September 2022, September 2024, September 2026 and so on.

What information is typically reported

  • Service of process address — where legal notices forwarded to the business should be sent.
  • Principal executive office — the main business address.
  • Chief executive officer — for corporations, the CEO name and business address.

If a filing period is missed

A business that has not filed for a past period may be shown as past due on its record. Businesses in that position can generally still prepare and submit the outstanding statement. Standing may affect the ability to obtain a certificate of status.
